Information on the new green bond issuance
GEN-I, trgovanje in prodaja električne energije, d.o.o., Vrbina 17, 8270 Krško (hereinafter: GEN-I, d.o.o., or ‘the company’), is a green bond pioneer, with its subsidiary GEN-I SONCE d.o.o. having issued the first green bond in Slovenia in 2017. Now the company is issuing a new green bond. It is the only non-financial institution in Slovenia to maintain green financing via the capital market.
Under the Rules of Ljubljana Stock Exchange and the applicable legislation, the company hereby informs the public that, in accordance with the presentation document and pursuant to the decision on the issuing of GE03 bonds, it has issued five-year green bonds with a total nominal value of EUR 50 million and a 5.2% annual interest rate.
The green bonds were offered at first sale exclusively to selected investors that had (i) professional party or (ii) eligible counterparty status under the applicable Market in Financial Instruments Act (ZTFI-1). At EUR 112 million, investor interest exceeded the final nominal value of the issuance by EUR 62 million. This confirms that Slovenian investors trust GEN-I, d.o.o. and support its efforts to promote green transformation, which include projects that have previously been announced and that are to be financed by the issuance of green bonds as per the GEN-I Green Bond Framework.
The GE03 green bonds were issued in dematerialised form on 26 April 2024 with their transfer to the accounts of bond holders at KDD, the Central Securities Clearing Corporation, in accordance with the KDD rules of operation. GEN-I, d.o.o. will produce a prospectus for the listing of the bonds on the Ljubljana Stock Exchange regulated market, and will submit a request to the Securities Market Agency for approval of the prospectus. After a decision approving the prospectus, the green bonds will be listed on Ljubljana Stock Exchange regulated market.
GEN-I, d.o.o. has authorised Nova Ljubljanska banka d.d., Ljubljana to provide expert technical assistance and services in relation to the issuing and sale of the bonds.
